- Provide legal counseling under the applicable laws and regulations for daily operations
- Provide legal services for the establishment and maintenance of a complete corporate governance system and internal regulations
- Provide legal counsel for business operations and development, including but not limited to legal compliance, internal management, logistical support, inter-corporate collaborations, and global collaborations
- Complete legal due diligence investigations
- Draft and/or check and approve any related legal documents
- Issue legal opinions and memorandums
Liquidation Services
(Including Creditors Voluntary Liquidation, Members Voluntary Liquidation, and Compulsory Liquidation)
- Accept the appointment of bankruptcy administrator by the PRC People's Court or compulsory liquidation administrator
- Provide legal counseling to the company in question, the bankruptcy and restructuring group, shareholders, creditors, and other stakeholders in restructuring and returning to the market
- Represent creditors, debtors, and other related personnel to initiate the voluntary liquidation process
- Represent shareholders and creditors in the compulsory liquidation process initiated by the PRC People's Court
- Accept the commission of a company and/or the shareholders to act as legal counsel throughout the liquidation process
- Facilitate legal risk management for securities companies, trust companies, and other financial companies
Corporate
(Daily Operations)
- Provide legal counsel for daily operations
- Draft, formulate, and investigate contracts, regulations, and other legal documents
- Assist in the proposal and examination of company confidentiality matters, company vacation policies, contract management, and other regulatory affairs
- Provide legal guidance in business administration and tax preparation
- Manage the signing and handling of legal documents on behalf of a company
- Provide legal analysis in the case of a legal dispute
- Provide a letter of attorney and legal opinions, as well as negotiate legal disputes
- Explain laws and regulations relating to the clients' business operations
- Assist the company in general basic legal knowledge training of its employees
